We are looking for a Legal Counsel and Deputy Company Secretary to support the delivery of legal advice and assistance to all business and support functions and providing company secretarial/governance support to the Management Committees and Board as required. This is a broad, generalist role in which the post holder will support and advise on general banking transactions (corporate and personal) and negotiate a wide range of credit agreements and supplier contracts. The successful candidate will also assist in the development of process efficiencies and other improvements to enhance the delivery of legal support and governance services across the Bank, whilst ensuring minimisation of legal risks in all the Bank’s activities. Responsibilities: Helping establish effective best practice governance processes for the Board and their Committees (e.g. putting in place appropriate terms of reference); Assisting with the organisation/administration of Board/Board Committee and EXCO meetings including preparation of minutes and maintenance of action trackers; Providing support to the SMT on governance matters and taking a pro-active role in ensuring that policies and processes in this area are fit for purpose; Supporting the development of legal knowledge management and horizon-scanning capabilities; Supporting the firm’s response to litigation or any potential legal challenges; Oversight and management of external legal advisers ensuring delivery and value for money; Maintaining the Bank’s statutory registers and handling Companies House filings; Drafting and reviewing governance documentation including terms of reference, governance statements, Pillar 3 disclosures, management responsibilities maps etc : Advising on regulatory and legal issues affecting the Bank’s activities and products; Providing the necessary legal input on lending transaction and vendor contractual negotiations. Requirements: An experienced lawyer with minimum 7-8 years PQE Knowledge of corporate governance, financial services, and regulatory law acquired both in private practice and in-house. A good understanding of financial services, particularly credit agreements and commercial contracts in the financial sector. Knowledge of Credit Agreements, Vendor Contracts International experience is desirable (although not essential) as well as a working knowledge of the markets in the Bank operates.
